1. Acceptance of Terms

By accessing, browsing, or using Sky Viona's website, mobile applications, or any of our digital signage services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use our Service.

2. Description of Service

Sky Viona provides a cloud-based digital signage platform that enables users to:

  • Create, design, and manage digital signage content through our web-based content management system
  • Deploy and display content on various devices including Android TV, Google TV, iOS devices, smart displays, and web browsers
  • Schedule and automate content playback across multiple screens and locations
  • Monitor and manage connected displays remotely in real-time
  • Access templates, media libraries, and integration tools to enhance digital signage capabilities

The Service includes free tiers with limited features and paid subscription plans with varying levels of functionality.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and completeinformation during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password and any other credentials used to access your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions. You must immediately notify Sky Viona of any unauthorized use of your account.

3.3 Account Types

Sky Viona offers different account types including individual accounts and organization accounts. Organization accounts may have multiple users with different permission levels. The account owner is responsible for the actions of all users within their organization.

4. Subscription Plans and Billing

4.1 Subscription Terms

Paid subscriptions are offered on a monthly or annual basis. By subscribing to a paid plan, you authorize Sky Viona to charge your designated payment method for the subscription fees plus any applicable taxes.

All payments are processed securely through Stripe, our third-party payment processor. Prices are displayed and charged in Swiss Francs (CHF) unless otherwise specified. Your payment card details are sent directly to Stripe and are never stored on our servers. By providing your payment information, you also agree to Stripe's Terms of Service.

4.2 Automatic Renewal

Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for successive periods of the same duration at the then-current subscription rate.

4.3 Price Changes

Sky Viona reserves the right to modify subscription fees at any time. We will provide at least 30 days' notice before any price increase takes effect. Your continued use of the Service after the price change constitutes your agreement to pay the modified fees.

4.4 Taxes

All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes, levies, or duties, excluding only taxes based on Sky Viona's net income.

4.5 Refunds

Refunds are handled in accordance with our Refund Policy. Generally,subscription fees are non-refundable except as expressly stated in the Refund Policy or as required by applicable law.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for displaying legitimate business content on digital signage systems that you own or have permission to operate.

5.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose, or to violate any laws in your jurisdiction
  • Upload, post, or transmit any content that infringes on intellectual property rights, including copyrights, trademarks, patents, or trade secrets
  • Display content that is defamatory, obscene, pornographic, offensive, threatening, harassing, or promotes violence or discrimination
  • Attempt to gain unauthorized access to our systems, other user accounts, or connected networks
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use the Service to distribute malware, viruses, or any other harmful code
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated scripts or bots to access the Service without prior written consent
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service in a manner that could damage, disable, overburden, or impair our servers or networks
  • Collect or harvest any personally identifiable information from other users without their consent

6. Content and Intellectual Property

6.1 Your Content

You retain all ownership rights to the content you upload, create, or display through the Service ("Your Content"). By using the Service, you grant Sky Viona a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display Your Content solely as necessary to provide and improve the Service.

6.2 Content Responsibility

You are solely responsible for Your Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights, licenses, and permissions to use and authorize Sky Viona to use Your Content as described in these Terms.

6.3 Sky Viona's Intellectual Property

The Service, including its original content, features, functionality, and design elements (excluding Your Content), is and will remain the exclusive property of Sky Viona and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

6.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by Sky Viona without any obligation to you.

7. Third-Party Services and Integrations

The Service may integrate with or provide access to third-party services, applications, or websites. Sky Viona does not endorse and is not responsible for the availability, accuracy, or content of such third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.

8. Service Availability and Support

8.1 Uptime

Sky Viona strives to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted, secure, or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our control.

8.2 Maintenance

We reserve the right to perform scheduled and emergency maintenancethat may temporarily affect Service availability. We will endeavor to provide advance notice of scheduled maintenance when possible.

8.3 Support

Support availability and response times vary by subscription plan. Details of support levels are provided in your subscription plan documentation.

9. Data Privacy and Security

9.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

9.2 Data Security

We implement reasonable technical and organizational measures to protect Your Content and personal information. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

9.3 Data Retention

Upon termination of your account, we may retain Your Content for areasonable period to allow you to retrieve it. After this period, we reserve the right to delete Your Content from our systems.

10. Warranties and Disclaimers

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 No Guarantee

Sky Viona does not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not warrant or make any representations regarding the results that may be obtained from use of the Service.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKY VIONA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

11.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKY VIONA'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SKY VIONA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

11.3 Basis of the Bargain

You acknowledge that Sky Viona has set its prices and entered into these Terms in reliance upon the disclaimers and limitations of liability set forth herein, and that the same form an essential basis of the bargain between the parties.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sky Viona and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c)your violation of these Terms; or (d) your violation of any rights of another party.

13. Termination

13.1 Termination by You

You may terminate your account at any time through your account settings or by contacting our support team. Termination will take effect at the end of your current billing period.

13.2 Termination by Sky Viona

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13.3 Effect of Termination

Upon termination: (a) all licenses granted to you under these Terms will immediately terminate; (b) you must cease all use of the Service; (c) you will not be entitled to any refund of fees paid; and (d) provisions of these Terms that by their nature should survive termination will survive.

14. Modifications to Service and Terms

14.1 Service Modifications

Sky Viona reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14.2 Terms Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sky Viona is incorporated,without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration institution.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and Sky Viona regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

The failure of Sky Viona to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. Sky Viona may assign these Terms without restriction.

16.5 Force Majeure

Sky Viona shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet service failures.
